Studio Rental Agreement

A studio-level document — adapted by each studio for its own operations.

This Studio Rental Agreement ("Agreement") governs your rental and use of CENTRA Studios studio facilities and equipment.

1. Definitions

  • "Studio" means any CENTRA Studios rental facility, including all rooms, equipment, and amenities
  • "Producer" means the individual or entity booking the Studio
  • "Guest" means any person accompanying Producer to the Studio
  • "Rental Period" means the confirmed booking time, including setup and breakdown

2. Producer Responsibilities

2.1 Full Responsibility

Producer acknowledges that CENTRA Studios provides rental space and equipment only. Producer assumes full responsibility for:

  • All activities conducted on premises during the Rental Period
  • Obtaining necessary releases, permits, and consents from talent, models, crew, and any third parties
  • Compliance with all applicable laws, including NY Civil Rights Law Sections 50-51 regarding likeness rights
  • Safety and welfare of all persons present during rental
  • Content created, captured, or produced on premises
  • Any claims arising from Producer's shoot, production, or activities

2.2 Releases and Permits

Producer is solely responsible for obtaining:

  • Model/talent releases (adult and minor)
  • Location releases if applicable
  • Music licenses
  • Any required permits
  • Insurance certificates if required

CENTRA Studios has no obligation to verify Producer has obtained such releases and assumes no liability for Producer's failure to do so.

3. Indemnification

3.1 Hold Harmless

Producer agrees to indemnify, defend, and hold harmless CENTRA Studios, its owners, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Producer's use of the Studio premises or equipment (b) Any acts or omissions of Producer, its employees, contractors, talent, models, or Guests (c) Any claims by third parties related to Producer's production (d) Producer's failure to obtain necessary releases, permits, or consents (e) Any violation of applicable laws or regulations (f) Personal injury or property damage occurring during the Rental Period

3.2 Survival

This indemnification obligation survives termination of this Agreement and the Rental Period.

4. Assumption of Risk and Waiver

4.1 Acknowledgment of Risks

Producer acknowledges that use of Studio premises and equipment involves inherent risks including but not limited to:

  • Equipment malfunction
  • Electrical hazards
  • Trip and fall hazards
  • Lighting equipment heat
  • Risks associated with photography/video production

4.2 Voluntary Assumption

Producer voluntarily assumes all risks associated with use of the premises and equipment.

4.3 Waiver of Claims

Producer waives any claims against CENTRA Studios for personal injury, property damage, or other losses arising from rental, except those caused solely by CENTRA Studios's gross negligence or willful misconduct.

4.4 Guest Coverage

Producer is responsible for ensuring all Guests acknowledge these terms. Producer assumes full liability for any Guest who has not signed a waiver.

5. Insurance

5.1 Standard Rentals

CENTRA Studios does not provide insurance coverage for Producer's activities. Producer is encouraged to obtain appropriate coverage including:

  • General liability insurance
  • Equipment coverage
  • Workers' compensation (if applicable)

5.2 Commercial Productions

For productions with crew of 5 or more, or budgets exceeding [not specified], Producer must provide:

  • Certificate of Insurance (COI) showing Commercial General Liability coverage
  • Minimum $1,000,000 per occurrence
  • CENTRA Studios named as Additional Insured
  • Certificate delivered at least 72 hours prior to rental

Failure to provide required insurance may result in cancellation without refund.

6. Property and Equipment

6.1 Condition

Studios are rented "as-is." Producer should report any pre-existing damage before beginning the session.

6.2 Care of Equipment

Producer agrees to:

  • Use equipment properly and safely
  • Not modify, disassemble, or alter equipment
  • Report any damage or malfunction immediately
  • Return equipment clean and in original location

6.3 Damage Responsibility

Producer is responsible for damage to Studio property or equipment during the Rental Period:

6.4 Inventory Verification

Producer should verify equipment inventory at check-in. Any discrepancies should be reported immediately.

7. Prohibited Activities

The following are prohibited without prior written approval:

  • Pyrotechnics, open flames, smoke machines, or hazardous materials
  • Live animals (service animals excepted)
  • Amplified sound exceeding reasonable levels
  • Nudity or adult content (requires separate agreement and approval)
  • Events open to public or with admission charged
  • Subletting or allowing third parties to use booking
  • Any illegal activity
  • Smoking or vaping inside the facility
  • Consumption of alcohol (unless separately approved)
  • Activities that may damage the facility or disturb neighbors

CENTRA Studios reserves the right to immediately terminate any rental where prohibited activities are occurring, without refund.

8. Time and Occupancy

8.1 Rental Period

Set-up, shooting, and breakdown must all occur within the confirmed Rental Period. Studios must be vacated on time.

8.2 Overtime

Overtime beyond the Rental Period is billed at [not specified]/hour in 15-minute increments ([not specified] minimum).

8.3 Occupancy Limits

Maximum occupancy varies by studio. Producer must not exceed the stated capacity.

9. Cancellation

Cancellation terms are governed by our standard Cancellation Policy:

  • 7+ days notice: Full refund minus 3% processing fee
  • 2-7 days notice: 50% refund
  • Less than 48 hours: No refund
  • No-show: No refund, full charge applied

10. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, government actions, pandemics, or severe weather. In such cases:

  • CENTRA Studios will offer credit toward future booking
  • No refunds for force majeure cancellations

11. Limitation of Liability

11.1 Maximum Liability

CENTRA STUDIOS'S MAXIMUM LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE RENTAL FEES PAID FOR THE SPECIFIC RENTAL PERIOD IN QUESTION.

11.2 Exclusions

CENTRA STUDIOS IS NOT LIABLE FOR:

  • Loss or damage to Producer's equipment or property
  • Lost business opportunities or creative content
  • Indirect, incidental, or consequential damages
  • Acts of third parties including Guests or talent

11.3 Exception

This limitation does not apply to claims arising from CENTRA Studios's gross negligence or willful misconduct.

12. Governing Law

This Agreement is governed by the laws of the State of New York. Disputes shall be resolved in the courts of New York County, New York.

13. Acknowledgment

By booking a studio with CENTRA Studios, Producer acknowledges:

  • Receipt and understanding of this Agreement
  • Agreement to all terms and conditions
  • Authority to bind any organization on whose behalf Producer is booking
  • That this Agreement is legally binding
